Hybrid Master Services Agreement

Parties & scope

This Hybrid Master Services Agreement (“MSA”) governs pack activation services provided by Null World Marketing through the DialTheList product. It is separate from OwnerRoll pack purchase terms. By checking “I accept the Hybrid MSA” on an activation request, you agree to these terms for that pilot.

Roles: customer sender-of-record

Customer is the sender-of-record for outbound email and, where applicable, telephone numbers used in the activation. Customer provides or approves sending domains, DNS/authentication records, and disclosure language. DialTheList operates as a processor: we configure and run email sequences, engager tracking, engager-gated AI voice, staging, and handoff tooling on Customer's instructions.

Activation deliverables

For each accepted pilot, DTL will:

  • Ingest the agreed list (OwnerRoll pack preferred; CSV/other sources as scoped)
  • Apply suppressions and honor opt-outs
  • Send initial outreach email(s) under hybrid sender terms
  • Log engager events per the configured gate (default: click)
  • Place AI voice calls only to contacts who meet the engager gate
  • Disclose AI nature of voice calls and honor opt-out requests
  • Stage qualified conversations and hand off to Customer's team
  • Deliver a written pilot report (touches, engagers, dials, meetings, complaints)

Engager policy

Voice dial jobs must verify engager status before placing a call. Non-engager dials are treated as an operations incident. Customer may configure a tighter gate than the account default (e.g., reply). Loosening below the organization floor requires written admin override and documented risk acceptance.

Compliance & disclosures

Before first live AI voice, Customer acknowledges responsibility for:

  • TCPA and state telemarketing compliance for their use case
  • AI / artificial voice disclosure scripts (version logged per pilot)
  • Recording consent where required by state law
  • Internal DNC / suppression list maintenance
  • Counsel review or documented risk acceptance for their industry and list source

Explicit prohibitions (MLP)

  • Cold AI voice to non-engagers
  • Voice on open-only tracking unless explicitly overridden in writing
  • Bypassing engager gates or suppression lists
  • Use of activation infrastructure for unrelated spam or list resale

Fees & pilot deposit

Pilot fees are quoted per activation (typical range $1,200–$2,500 depending on scope). A 50% deposit is collected at intake via Stripe; balance is invoiced at scope lock. Retainer pricing applies to ongoing refreshes as separately agreed. See Terms of service for refund posture.

Data & confidentiality

Customer list data is used only to perform the activation and produce the pilot report. DTL does not sell contact data. Event logs (sends, clicks, dials) are retained for audit and dispute resolution per our data retention schedule.

Termination & kill criteria

Either party may pause or terminate a pilot for compliance concerns. DTL may immediately stop service if engager gates are bypassed, counsel issues a stop-ship, or complaint rates exceed agreed thresholds. Unused deposit portions may be credited or refunded per the Terms of service.

Order of precedence

For a specific pilot, the signed or electronically accepted activation request, statement of work, and this MSA control. OwnerRoll pack terms govern data licensing only. Questions: orders@nullworldmarketing.com.
